Overview

This Payments Policy explains how payments, credits, refunds and payment-related risks are handled when organisations use the JustPost platform ("Service") provided by FairSay Ltd ("FairSay", "we", "us").

This policy applies to organisations, groups and other entities ("Organisation", "you") using JustPost to create, host or manage postcard advocacy actions.

FairSay may, at its sole discretion, waive, reduce or vary any fees referred to in this policy where it considers this appropriate.

This policy forms part of the JustPost Terms of Use. By using payment functionality within the JustPost platform, you agree to these terms.

Choosing a payment model

JustPost offers different payment models to suit different organisational needs.

Organisation-funded actions are best suited to organisations that wish to purchase postcard actions directly through invoices or prepaid JustPost Credits.

FairSay-managed supporter payments are suitable where an organisation wants FairSay to collect supporter payments on its behalf. Supporter payments are converted into JustPost Credits for future campaigns, simplifying payment administration and reducing operational complexity.

Organisation-managed supporter payments are suitable where an organisation wishes to receive supporter payments directly into its own payment account (such as Stripe). This provides the organisation with direct control over funds while FairSay provides the technical integration between JustPost and the payment provider.

Organisations that expect to retain or reuse supporter funds outside the JustPost platform should generally use their own payment account rather than FairSay-managed payments.

1. Payment models

JustPost supports different payment arrangements depending on how an advocacy action is funded and who manages payments.

The applicable terms depend on which payment model is used.

1.1 Organisation-funded actions

An Organisation may pay for JustPost services directly, including by invoice or prepaid payment.

Payments made to FairSay are used to provide JustPost services. Where the full value of purchased services is not immediately used, the remaining value is held as JustPost Credits.

JustPost Credits may be used for future postcard advocacy actions or other agreed JustPost services.

JustPost Credit is not a customer deposit account, electronic wallet or withdrawable cash balance.

1.2 FairSay-managed supporter payments

An Organisation may choose to allow supporters to pay for postcard actions using FairSay's online payment accounts and providers.

Supporter payments are collected by FairSay on behalf of the Organisation and are not payments for a separate consumer service supplied by FairSay. FairSay provides the platform, technology and fulfilment services to the Organisation.

Where FairSay receives supporter payments on behalf of an Organisation:

  • payments are converted into JustPost Credits for use on Organisations' postcard actions;
  • JustPost Credit is applied to the Organisation's JustPost Credit balance;
  • Supporter payments are collected by FairSay on behalf of the Organisation and are not payments for a separate consumer service supplied by FairSay. FairSay provides the platform, technology and fulfilment
  • FairSay manages payment processing, including the relationship with the payment provider, payment provider administration, refunds and payment disputes. As the account holder with the payment provider, FairSay is responsible for responding to payment provider enquiries, verification requests, fraud reviews and dispute processes.
  • payment processing costs, including payment provider fees, refunds, payment disputes, chargebacks, taxes arising from payment processing or applicable tax obligations, and other directly attributable costs associated with receiving or administering those payments, may be deducted from the Organisation's JustPost Credit balance.
  • A payment technology fee applies for use of JustPost's payment-enabled campaign infrastructure: 1.5% of successful payments (excluding provider fees) processed through the action;

Where FairSay collects payments on behalf of an Organisation, the applicable tax treatment may depend on the payment model, the jurisdictions involved and changes in applicable law or tax authority guidance. FairSay may deduct or retain amounts reasonably required to meet payment-related tax obligations arising from those payments before calculating the available JustPost Credit.

This arrangement allows FairSay to provide a simple payment experience while managing the operational and financial risks associated with payment processing.

1.3 Organisation-managed supporter payments

An Organisation may connect its own payment account, such as its own Stripe account, where this functionality is available.

Under this arrangement:

  • payments are processed directly through the Organisation's payment provider;
  • funds are paid directly to the Organisation;
  • the Organisation is responsible for payment processing, refunds, disputes, chargebacks and compliance obligations relating to those payments;
  • FairSay provides the technical connection between JustPost and the Organisation's payment account.

A payment technology fee applies for use of JustPost's payment-enabled campaign infrastructure:

  • 1.5% of successful payments (excluding provider fees) processed through the action; and
  • a minimum fee of £100 or equivalent per advocacy action.

The fee supports the development, maintenance, security and ongoing improvement of payment functionality within JustPost.

An advocacy action means a distinct postcard campaign initiative with its own purpose, recipient, timing or campaign objective.

Multiple versions or implementations of the same action, such as embedded forms, landing pages or coalition versions, are covered by the same minimum fee where they use the same JustPost account and the same payment account.

Where different payment accounts are used for different implementations, the minimum fee applies separately to each payment account.

2. JustPost Credits

JustPost Credits represents the value available to an Organisation for purchasing JustPost services.

JustPost Credits may arise from:

  • prepaid invoices;
  • unused value from FairSay-managed supporter payments;
  • other agreed credits issued by FairSay.

JustPost Credits:

  • may only be used for JustPost services;
  • is not transferable to another Organisation without FairSay's agreement;
  • does not represent funds held in trust or a withdrawable balance.

2.1 Validity period

JustPost Credits are normally valid for 12 months from the date it is issued.

Organisations are encouraged to use credit within this period for future postcard advocacy actions.

Where an Organisation has a planned future campaign or another reasonable reason why credit cannot be used within 12 months, FairSay may agree to extend the validity period by mutual agreement.

If credit remains unused after the validity period and no extension has been agreed, FairSay may treat the credit as expired.

Any request to reinstate expired credit will be considered at FairSay's discretion.

3. Refunds

Refunds are handled according to the payment arrangement used.

3.1 Organisation-managed payment accounts

Where an Organisation uses its own payment account:

  • the Organisation manages refunds directly through its payment provider;
  • the Organisation is responsible for any related payment provider fees, reversals or adjustments.

3.2 FairSay-managed payments

Where FairSay has processed payments:

  • refunds may be issued where FairSay considers this appropriate, including where issuing an early refund is the most practical way to resolve a payment issue and avoid escalation into a dispute or chargeback;
  • FairSay will normally notify the Organisation where a refund relates to its campaign, but prior approval is not required where prompt action is necessary to manage payment risks or comply with payment provider requirements;
  • refunds may be deducted from available JustPost Credits or future balances;
  • where insufficient credit exists, FairSay may invoice the Organisation for any outstanding amount.

FairSay is not responsible for delays caused by third-party payment providers processing refunds.

4. Payment disputes and chargebacks

A payment dispute or chargeback occurs when a payer challenges a payment through their bank, card provider or payment provider.

4.1 Organisation-managed payment accounts

Where an Organisation uses its own payment account, the Organisation is responsible for:

  • responding to disputes;
  • providing supporting evidence;
  • managing payment provider requirements;
  • accepting any resulting costs.

4.2 FairSay-managed payments

Where FairSay processes payments:

FairSay manages the normal administration associated with payment disputes, including reviewing information, preparing responses and submitting evidence to payment providers.

FairSay may determine whether a dispute should be accepted, challenged or otherwise resolved, taking into account the available evidence, likely outcome, administrative effort and associated costs.

Where the Organisation's balance remains as JustPost Credit, this dispute management activity is included as part of providing the Service.

Where an Organisation requests settlement of unused JustPost Credit, FairSay may recover costs associated with payment disputes relating to those payments, including:

  • payment provider dispute fees;
  • refunded amounts;
  • payment reversals;
  • reasonable administrative costs involved in reviewing evidence and responding to disputes.

This applies even where FairSay successfully challenges and wins a dispute, as responding to disputes requires administrative time and operational resources.

5. Suspension of payments and JustPost Credit

FairSay is committed to maintaining a trusted and ethical platform for advocacy.

Where FairSay reasonably believes that an Organisation has breached, or is likely to breach, the JustPost Terms of Use, Ethical Policy or applicable law, FairSay may temporarily suspend:

  • payment processing;
  • access to JustPost Credit;
  • settlement requests; and/or
  • other payment-related services,
  • while the matter is investigated.

During any investigation, FairSay may retain sufficient JustPost Credit or other funds under its control to meet any actual or reasonably anticipated obligations arising from the Organisation's use of the Service, including printing and postage costs, refunds, chargebacks, payment processing fees, contractual commitments and other amounts properly due.

Where the matter is resolved without further action, FairSay will restore access to any remaining JustPost Credit as soon as reasonably practicable.

Where an Organisation's use of the Service is suspended or terminated following a confirmed breach of the JustPost Terms of Use or Ethical Policy, any remaining JustPost Credit will be dealt with in accordance with those terms, after deduction of any amounts properly owed to FairSay.

6. Settlement of unused JustPost Credit

JustPost Credit is intended to be used for JustPost services and may, where appropriate, be re-allocated between JustPost actions, campaigns or Organisations. Unused JustPost Credit can be applied to subsequent actions, reprints of selected postcards, platform services, support, custom development work or other JustPost services.

6.1 Re-allocation of JustPost Credit

Where appropriate, an Organisation may request that unused JustPost Credit is allocated to support another Organisation, campaign or JustPost action rather than requesting settlement.

Any reimbursement arrangement between the original payer and the receiving Organisation is a private arrangement between those parties and is not managed, processed or guaranteed by FairSay.

The Organisation or campaign receiving the benefit of the JustPost Credit remains responsible for any future refunds, disputes, payment reversals or related costs associated with those JustPost Credits.

6.2 Refund of invoice-funded JustPost Credit

Where JustPost Credit has been purchased directly by an Organisation through an invoice, FairSay may consider refunding unused invoice-funded JustPost Credit without applying the standard settlement fee or waiting period.

Any refund will take into account:

  • whether the JustPost Credit remains unused;
  • whether any costs have already been incurred;
  • whether services have already been provided or committed;
  • any outstanding amounts owed to FairSay.

Refunds of invoice-funded JustPost Credit are not an automatic entitlement and remain subject to FairSay's review.

6.3 Settlement of JustPost Credits collected through FairSay's payment processor

In exceptional circumstances, FairSay may agree to provide a cash settlement for unused JustPost Credit where payments were collected through FairSay's payment processor.

This does not apply where an Organisation has used its own payment processor account. In those circumstances, the Organisation receives and manages the funds directly, and JustPost invoices the Organisation separately for fulfilment and platform services as agreed.

Settlement is not an automatic entitlement and is provided at FairSay's discretion.

Approved settlements are subject to:

  • a 120-day processing period to allow time for refunds, disputes and payment reversals to be identified;
  • a settlement fee of 5% of the amount refunded, subject to a minimum fee of £100;
  • deduction of any refunds, disputes, chargebacks, taxes arising from payment processing or applicable tax obligations, payment processing costs or other amounts properly owed.
  • verification of payment details is required

The settlement fee reflects the additional financial risk, administration, cash-flow requirements and payment management responsibilities involved where FairSay has collected payments through its own payment processing arrangements and subsequently converts unused JustPost Credit into a cash payment.

If a dispute, refund or payment reversal occurs after settlement has been made, the Organisation remains responsible for the relevant amount and FairSay may invoice the Organisation or deduct the amount from future balances.

Where an Organisation uses its own payment processor account, responsibility for payment administration, refunds, chargebacks, disputes and withdrawals remains with that Organisation and its payment provider.

7. Third-party payment providers

JustPost may use third-party payment providers such as Stripe and other payment services.

Payment providers operate independently from FairSay. FairSay does not control:

  • whether payments are accepted or declined;
  • payment provider account reviews;
  • payment processing times;
  • dispute outcomes;
  • payment provider decisions or requirements.

Organisations using their own payment accounts remain responsible for their relationship with their payment provider.

8. Liability relating to payments

FairSay will use reasonable care and skill in providing payment functionality through JustPost.

However, FairSay is not responsible for losses arising from:

  • actions or decisions of third-party payment providers;
  • payment failures outside FairSay's reasonable control;
  • disputes or reversals arising from an Organisation's own payment arrangements.

Nothing in this policy excludes or limits liability where such exclusion or limitation would be unlawful.

9. Changes to this policy

FairSay may update this Online Payments Policy from time to time to reflect changes to the JustPost platform, payment providers, legal requirements or business practices.

The current version will always be available on the JustPost website.
